ListLot Network Marketing Manager Agreement

Effective October 25, 2026 · 9 sections

You advertise cars for the dealerships ListLot places you with, as each dealership's marketing agent. Interested buyers send their details through your ListLot lead link, and ListLot pays you for each lead the dealership approves and pays for. You never sell a car, and you never handle a buyer's money.

01Who this is between

This agreement is between you (the “Marketing Manager”) and ListLot (“ListLot”). It applies from the moment you check the box and click to accept it. You agree that doing so is your electronic signature and binds you as a signed paper copy would.

Our Terms of Service, Acceptable Use Policy and Privacy Policy also apply. Where they conflict with this agreement about your work in the Network, this agreement wins.

02What you do

ListLot places you with dealerships that have joined the ListLot Network. Each of those dealerships appoints you, under its Network addendum, as its marketing agent for advertising its vehicles. For each placement you:

  • Post released vehicles — you post only the vehicles the dealership has released to you in ListLot, on Facebook Marketplace, Craigslist and other channels ListLot supports.
  • Name the dealership — every ad names the dealership as the seller and says you are its marketing manager. ListLot writes that wording into the ad and you must not remove it.
  • Send buyers to your lead link — when a buyer is interested, you send them to the ListLot lead link for that vehicle, where they give their own details and consent to be contacted. ListLot delivers the lead to the dealership.

03What you never do

These limits are what keep you a dealership's marketing agent and not an unlicensed vehicle broker or dealer. Breaking one ends this agreement immediately, and any fee for the leads involved is void.

  • Negotiate — you never negotiate or quote a price, trade-in value, payment, interest rate or any other term. Only the dealership does.
  • Handle money or paperwork — you never take a deposit, payment, trade-in, title, credit application or signature from a buyer, and never sign anything for a buyer or a dealership.
  • Present yourself as the seller — you never say or suggest that you are the dealer, own the vehicle, or can make a deal.
  • Fake or pad leads — you never submit a lead yourself, on someone's behalf, or for anyone who hasn't asked to hear from the dealership.
  • Sell cars yourself — you never buy or sell vehicles for profit through the Network. In Arizona, selling seven or more used vehicles in twelve months needs a dealer licence.
  • Bind ListLot — you have no authority to make any promise or contract on ListLot's behalf.

04Honest advertising

  • Accurate data only — every ad must match the live inventory, price and details the dealership provides. Never post inaccurate vehicle data, a bait price, or financing terms the dealership has not provided.
  • Platform rules — you follow the rules of every site you post on and our Acceptable Use Policy.
  • Consequence — a lead that came from a false or misleading ad is rejected and earns nothing, and ListLot may end this agreement immediately.

05Declaration of Independent Business Status

You are an independent contractor, not an employee of ListLot or of any dealership. In line with Arizona's Declaration of Independent Business Status (A.R.S. 23-1601), you confirm that:

  • Your own business — you run your own independent business and offer your services to others as well. Nothing here is exclusive.
  • Your own methods — you decide your own hours, location and marketing methods, within the limits in this agreement.
  • Your own tools — you provide your own phone, computer, internet access, accounts and other equipment, at your own cost.
  • Paid for results — you are paid per approved lead, not by the hour, and you are not reimbursed for expenses.
  • Your own taxes and insurance — you pay your own income and self-employment taxes. You are not covered by ListLot's workers' compensation or unemployment insurance and are not entitled to employee benefits.
  • Your own risk — you may make or lose money depending on how you run your business.
Your attorney may ask you to sign the statutory declaration form as well. If so, it forms part of this agreement.

06How you are paid

  • The rate — you earn the per-lead rate shown for each placement in ListLot for every approved lead there. Rates are set per dealership and can differ between them. ListLot may change a rate for future leads by telling you in the app.
  • When it is earned — a lead fee is earned only after the dealership has approved the lead and ListLot has successfully collected its own fee for that lead from the dealership. ListLot does not advance, guarantee or pre-fund a payout for a lead that is pending, rejected, unpaid or reversed.
  • Reversals — if the dealership's payment for a lead is later reversed, ListLot may deduct what it paid you for that lead from your next payouts.
  • How it is paid — ListLot pays through Stripe Connect or another payout method it designates. You agree to complete that method's identity and bank details when asked.
  • Tax forms — ListLot issues a Form 1099-NEC when your payments in a year reach the IRS reporting threshold ($2,000 for payments made in 2026), and you give ListLot or its payout provider the tax details that needs.

07Buyer information

A buyer's details belong to the dealership. Use them only to point the buyer to the dealership. Never add a buyer to a list, never text or call them for any other purpose, and delete what you hold when the dealership or ListLot asks, or when this agreement ends.

08Placements and ending

  • Placements — ListLot decides which dealerships you are placed with, and may pause or end any placement at any time.
  • Ending — either of us may end this agreement at any time by telling the other. Fees for leads delivered before it ended are still paid once earned.
  • Changes — if ListLot changes this agreement, you will be asked to accept the new version in the app before you can keep posting.

09The rest

  • Responsibility — you are responsible for what you post and say, and you will cover ListLot's losses from a breach of this agreement by you.
  • Law — this agreement is governed by the law of Arizona, and any dispute is heard in Maricopa County, Arizona.
  • Contact — notices and questions go to [email protected].
