Terms of Service
This is the contract. It is written to be read by a dealer rather than a lawyer, and the parts most likely to matter to you — who is responsible for a listing, what happens if Marketplace restricts your account, and how billing works — are near the top.
01Agreeing to these terms
By creating a ListLot account, accepting an invitation to a workspace, or using the ListLot Chrome extension, you agree to these terms. If you are accepting on behalf of a dealership, you are confirming that you can bind it.
The agreement is between that dealership and ListLot, the operator of this service. Our Acceptable Use Policy and Privacy Policy are part of it.
02What ListLot is, and what it is not
ListLot reads your inventory, drafts listing copy, organises your photos, fills in the posting form on Facebook Marketplace and Craigslist, and tracks when each listing is due for a repost.
It is an assistant, not an agent. It does not submit a listing, and it does not act on a platform on your behalf. Every listing that goes live goes live because a person at your dealership read it and clicked Publish.
- Not affiliated — ListLot is not affiliated with, endorsed by, or sponsored by Meta, Facebook, Instagram, Craigslist, or any dealer website platform. Those names appear here only to describe what the tool works with.
- Not a listing service — we do not host your listings, take your leads, or stand between you and a buyer.
- Not legal or pricing advice — price comparisons, market data and generated copy are inputs to your judgement, not a substitute for it.
03Your account and your team
- One workspace per dealership — with three roles — admin, sales rep and affiliate. Admins control billing, team and dealer settings.
- The owner — the account that signed the dealership up pays the bill and cannot be removed or demoted while the workspace exists.
- Everyone you invite — is your responsibility. Their use of ListLot is your use of ListLot, including an affiliate posting on a rep's behalf.
- Credentials — keep them to yourself. Tell us promptly if a token or password is exposed and we will rotate it.
- Accuracy — keep your dealership details current — they are printed on listings buyers act on.
04You are responsible for what you publish
This is the clause that matters most. ListLot generates a draft from the data your own website and your own photos provide. You are the seller: the price, the mileage, the title status, the disclosures and every claim in the listing are yours, on every platform, whether or not a machine wrote the first version of the sentence.
Advertising a used vehicle is regulated — the FTC Used Car Rule, state dealer advertising law, and lending and finance disclosure rules all apply to you and none of them apply to us. Read the draft before you publish it.
05Third-party platforms are not ours to control
Facebook Marketplace, Craigslist and Instagram each have their own terms, and your relationship with them is yours alone. Using ListLot does not change what they permit, and complying with them is your obligation.
We have designed the product to stay on the safe side of that line — assist-only, one listing at a time, the final click always yours — but we cannot promise a platform will never remove a listing, ghost a post, or restrict an account. We are not liable when one does.
06Acceptable use
The Acceptable Use Policy is part of this agreement. In short: do not use ListLot to misrepresent a vehicle, to post inventory you are not authorised to sell, to work around a platform's limits or a ban, or to message buyers in bulk. Breaking it is grounds for suspension.
07Trials, plans and billing
- Free trial — every plan opens with a free trial and no card up front. When it ends, the account pauses until a plan is chosen — we do not start charging silently.
- What a plan is priced on — the number of active cars in your synced inventory and the number of team seats. A car you have marked sold stops counting once it leaves your site.
- Going over — nothing breaks and nothing is auto-charged. We show the tier your usage fits and email you before anything changes.
- Monthly and annual — annual is paid up front for a discount. Both renew automatically until cancelled.
- Changing plans — an upgrade takes effect immediately and is prorated; a downgrade takes effect at the next renewal.
- Cancelling — any time, from Settings → Plan. You keep access through the period you have paid for. We do not refund partial periods except where the law requires it.
- Price changes — we will give existing customers at least 30 days' notice by email before a price change affects them.
- Who takes the payment — Paddle. Paddle acts as merchant of record for ListLot subscriptions, which means your payment transaction — the receipt, the tax handling and the card details — is with Paddle under their terms. Everything about the service itself is with us, under these.
- Taxes — sales tax and VAT are calculated and collected by Paddle at checkout where they apply; quoted prices exclude them.
08Waitlist and early access
ListLot opens in waves. A waitlist place is not a contract: it reserves a spot in the queue and nothing more. Launch pricing offered to early dealers holds for the term stated in the offer, and an access code may expire if it goes unused.
09Who owns what
- Your data is yours — inventory, photos, dealership details, listing history, sales records. You keep every right you had in them.
- What you grant us — a limited licence to host, process, reproduce and display that data — including sending vehicle data to our AI vendor — strictly to operate the service for you. It ends when your data is deleted.
- Our software is ours — the ListLot app, extension, generated templates, designs and documentation stay ours. You may not copy, resell, reverse-engineer or rebrand them.
- Feedback — if you send us an idea, we may use it without owing you anything. Send it anyway — most of this product came that way.
- Anonymous aggregates — we may use de-identified, aggregated statistics (how long a listing survives, how often a repost is due) to improve the product. Nothing that identifies your dealership or your cars.
10Availability and support
We do not offer a service level agreement at this stage, and we would rather say so than bury it. The service may go down for maintenance or for reasons outside our control, and features may change as the product develops. Support runs by email during US business hours; we aim to answer within one business day.
11Suspension and termination
- You can leave any time — cancel from Settings → Plan. Ask and we will delete the workspace immediately.
- We may suspend — for non-payment after notice, for a breach of the Acceptable Use Policy, or where continuing would expose us or another customer to legal or platform risk. Except where the risk is immediate, we contact you first.
- We may discontinue — the service, with at least 30 days' notice and a prorated refund of anything prepaid.
- After termination — your data is available for export for 30 days, then deleted.
12Disclaimer of warranties
The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the service will be uninterrupted or error-free, that generated copy will be accurate, that a listing will sell a car, or that a third-party platform will accept, keep or rank a listing.
13Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost leads, lost sales or lost data.
Our total liability for any claim relating to the service is capped at the greater of the fees you paid ListLot in the twelve months before the claim, or $100.
For the avoidance of doubt, that cap covers a listing being removed, a post being ghosted, a Marketplace or Craigslist account being restricted or banned, and a sale that did not happen. Those outcomes are risks of selling on someone else's platform; the product is built to reduce them and cannot eliminate them.
14Indemnity
You will defend and indemnify us against third-party claims arising from your listings, your vehicles, your use of the service, or your breach of these terms — including a claim about the accuracy of a listing or a vehicle's condition.
15Changes to these terms
We may update these terms. The date at the top changes, and for a material change we email workspace admins at least 14 days before it takes effect. Continuing to use ListLot after that date means you accept the new version; if you do not, cancel and we will refund the unused part of a prepaid term.
16Governing law and disputes
These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The courts of Maricopa County, Arizona have exclusive jurisdiction, and both parties consent to venue there.
Before filing anything, email emery@listlot.app with the problem and give us 30 days to fix it. Most of what ends up in a dispute is a bug or a misunderstanding, and both are cheaper to solve in an inbox.
17The rest
- Entire agreement — these terms, the Acceptable Use Policy and the Privacy Policy are the whole agreement and replace anything said before.
- Severability — if a clause is unenforceable, the rest stands.
- No waiver — not enforcing something once does not forfeit it.
- Assignment — you may not assign this agreement without our consent; we may assign it in a merger or sale of the business.
- Force majeure — neither party is liable for a failure caused by something genuinely outside its control.
- Independent parties — no partnership, agency or employment is created.
